Upon the closing of the anticipated transaction between the companies, Amico will offer a portfolio of diversified gaming content including some of the most popular massive multi-player online role-playing games (MMORPGs) and advanced casual online games in China. Amico Games will develop and operate mobile phone multi-player networked games through Galaxy Software (Guangzhou) Limited, a private-owned company. Established in 2001, Galaxy is one of the pioneer developers of mobile phone multi-player gaming in China. Galaxy is also the first Chinese company to cooperate with Nokia (the worlds leading mobile phone supplier) to develop Java™ ™ multi-player mobile phone games. Galaxy Software is also the first company to provide the popular wrestling genre games and multi-player games over the WAP platform of China Mobile™ (In addition to having the world's largest mobile network, China Mobile has the greatest number of mobile subscribers)

Product Overview
Amico provides interactive multiplayer cellphone games through multiple technology platforms to mobile phone end users. Most of our games are delivered through 2.5G and/or 3G technology platforms, including WAP and Java™, which offer higher quality graphics, richer content and interactivity.
We also offered games through SMS platform of the 2G technology, but we have stopped to deliver SMS games since March 2008 as China enhance its technology platform in mobile telecommunication.
We have developed over 10s cellphone games since inception in 2001. The followings are the types of cellphone games that we developed and delivered over the 2.5G and/or 3G telecom network in China.
WAP Games.
Being an open standard for communication between handsets and the Internet, Wirelss Application Protocol (or abbreviated as "WAP") is a wireless communications environment for delivering web data to mobile handsets with minimal screen display. It allows users to download color and animated pictures and other interactive game content on their mobile phones so that users can request and receive information in a manner similar to accessing information on Internet web sites using personal computers.
Our WAP game Miracle Journey to the West completed a 5-month testing in early 2006 and started to receive revenues since May 2006. Another two WAP games of ours, Miracle Jiutian and Fantasy Wulin, were launched for public beta test in July 2007 and October 2008 respectively.
Java™ Games.
Amico provide interactive and networked cellphone games over Java™ platform, which is the software and technology environment specifically designed by Sun Microsystem enabling the development of applications on mobile devices. Java™ is the most common application development platform for mobile games.
We started testing our first Java game Journey to the West OL since June 2008, and began to receive revenues for such services starting May 2009 after this game was made public.

Fantasy Wulin
The Fantasy Wulin is a multi-player mobile phone Roll Playing Game. Fantasy Wulin is an adaptation of Chinese traditional paladin stories. The players assume a fictional character as made famous in the Wulin paladin, and interact with other players and challenge an artificial intelligence to become a Wulin paladin in the game. The game provides fabulously developed scenarios and diversified interactive environments for extended and repeated gaming.

Miracle Jiutian (WAP Version)
The Miracle Jiutian is a multiplayer mobile phone game. The game's theme is designed upon a classical Chinese martial-arts story. The game environment is a highly stylized virtual world with eastern martial-arts characters, in which many famous Chinese factions and cities are uncovered.
The Game was initially distributed by DownJoy in July 2007, and currently distributed by Guangzhou Lingxian Digital Technology Co., Ltd. since October 2009.

Miracle Journey to the West
Miracle Journey to the West is an adaptation of a famous Chinese classic novel, Journey to the West. The Game introduced many of the classical sites, scenes and roles from the classic novel Miracle Journey to the West's virtual game world was designed according to the myth's story and Tang Dynasty. The Game provides players with splendid visual experiences by real-time mapping, real-time fighting effects and other WAP graphic treatment technologies. MARKET
China is now the largest mobile telecommunications market in the world. According to data published by the China Ministry of Industry and Information Technology there are almost three times more mobile phone handset users than Internet users in China. The total amount of mobile phone users as of the end of 2008 is estimated at 300 million.
In January 2009, the Chinese Ministry of Industry and Information Technology issued a 3G operation license to China Mobile (TD-SCDMA), China Unicom (CDMA2000) and China Telecom (WCDMA). Our management believes that mobile device games will play a key role for the telecommunication industry as value-added service to allow these three operators to continue generating profits in a much tougher competitive environment which is seeing a decrease in revenues generated by voice usage.
The majority of online game revenues in China come from massively multi-player online role-playing games (MMORPGs). However, casual games are becoming increasingly popular as they are usually easier to pick up and less time-consuming.
The mobile gaming segment generated revenues of RMB 120 million ($17.5 million) in 2007. Our management believes that 2009 is likely to be a turning point for the mobile game market in terms of rapid expansion due to the upcoming launch of 3G services in China. Revenues from the online mobile game market in China are expected to have almost tripled to RMB 380 million ($55.65 million) in 2008 and to grow accordingly in 2009.
The Opportunity
The mobile phone gaming sector, as one of the key revenue earners in China's mobile value-added services market, provides online or down-loadable games that allow mobile device users to play against the game or to engage other users via their mobile handsets. These types of applications represent a lucrative and fast-growing sector within China's rapidly evolving telecommunications industry.
With the growing demand for new content boosted by the 3G era in China, it is estimated that the Chinese mobile phone game market sales will reach RMB 4.2 billion in 2011 with a staggering annual growth rate of 45.54%. Peter Liu, Chief Executive Officer, Aged 36
Mr. Peter Liu is the Chief Executive Officer of Amico Games Corp. He is also the founder and executive director of Galaxy Software (Guangzhou) Limited. Mr. Liu has rich experience in mobile phone game application development and business management. He was one of earliest pioneers in the Chinese mobile phone gaming market. Prior to establishing Galaxy Softare, Mr. Liu worked with Asian Information Resources (Guangzhou) Company Limited. Mr. Liu holds a diploma in an Executive MBA training course from South China University of Technology in 2005. He also completed training courses of Financial Management from South China Normal University in 2002 and Computer Application from Sun Yat-Sen University in 2000.
Wing Kuen Ha, Chief Financial Officer, Aged 46
Chief Financial Officer Mr. Wing Kuen Ha has over 20 years experience in the areas of auditing, financial reporting and transaction advisory services. Mr. Ha has been an Executive Director, Group Financial Controller and Corporate Secretary for several publicly traded companies that were listed on the Hong Kong Stock Exchange. Mr. Ha holds a Masters Degree in Professional Accounting from the Open University of Hong Kong. He is also a fellow member of The Association of Chartered Certified Accountants and The Hong Kong Institute of Certified Public Accountants.
Yuan Xu, Chief Operating Officer, Aged 41
Mr. Xu is the Chief Operaating Officer of Amico Games Corp. He has also served as the General Manager of the wholly-owned subsidiary Galaxy Software (Guangzhou) Ltd. since 2006. Mr. Xu brings 14-years of administrative and management experience in the Chinese telecommunication industry. Prior to joining Amico, Mr. Xu was the CEO of Guangdong Renwoxing Information Industry Co. Ltd. from 2003 to 2005. In the period 2001 to 2003, he worked as General Manager in Hainan Branch Company of Guangdong Jinzhonghua Communication Service Company, Limited. Mr. Xu received his bachelor degree of Chinese Linguistic Literature in Anhui University in 1991.
Lin Zhong, Chief Technology Officer, Aged 31
Mr. Zhong is the Chief Technology Officer of Amico Games Corp. In 2002 Mr. Zhong joined Galaxy Software (Guangzhou) Limited, a private Chinese based mobile gaming developer and distributor as a programmer and was appointed as its Technology Director in 2003. He is proficient in developing multiplayer mobile games for a number of various mobile platforms including SMS, WAP and Java. Mr. Zhong is the system analyst and project manager for most of the Galaxy Software (Guangzhou) Limited mobile games. Mr. Zhong received his Bachelor degree in Computer Science and Technology in year 2000 from National University of Defense Technology of China.
